A. Name of the Society: SONITPUR DHATRI SEWA SAMITY

C. The objects for which the society is established:-
(i) To empower and educate women to promote quality of life:
a) Capacity build-up and skill training.
b) Employment generation through vocational education and training.
c) Educational work for prevention on atrocities on women and for women’s equality.
d) Health education for women and girl.
e) Rehabilitation of distressed women through Short Stay Homes and Swadhar Schemes.
f) Support to training and employment for women.

(ii) To develop socio-economic condition of deprived sections of the society:
a) Overall improvement and development of Scheduled Castes and Tribes on Education, Health & Sanitation, Environment, Drinking Water and Legal Redressal Services.
b) Improvement of social status of disabled people (deaf, dumb, blind, and physically handicapped and mentally retardate) through education, job-oriented training, and employment and income generation.
c) Take up programme and project for the welfare of old aged persons (Day Care Centre, Old Age Home, Etc.).

iii) To work for health in general and child nutrition:
a) Reproductive Child Health.
b) Prevention of epidemic and deadly diseases like AIDS, Cancer, Malaria, etc.
c) Rural health programme.
d) Nutritional programme for children.
e) Day care and crèche center for children.

iv) To motivate and mobilize the people for growth and development:
a) Action research and study on social change and development
b) Motivation Camp on youth development
c) Leadership and personality development training
d) Mass awareness on human right issues.
e) Advocacy Campaign against social evils and injustice.

v) To promote and develop culture, literature and tourism:
a) Rural Tourism and Ethnic Hub for art and culture preservation.
b) Development of Tourism and Promotion of Eco-Tourism and Health Tourism.
c) Preservation and Development of Cultural heritage of the Himalayas.
d) Promotion and Dissemination of Tribal or Folk Art and Culture.
e) Action Research on cultural heritage.
f) Publication and enhancement of books, journals and literature regarding the Tribes of North East in the area of art, culture, Dances, Festivals, Folklores, Traditions, Faith, and beliefs etc.
g) To prepare documentaries of the North-East Tribal people.

vi) To protect and preserve wild life and endangered species and plants:
a) Protection of wild animals, birds and plants.
b) Prevention of the infliction of unnecessary pain or sufferings on animals.
c) Take up animal welfare schemes on Relief to animals during Natural Calamities and Unforeseen Circumstances, Ambulance service for Animal in Distress and other such welfare services.
d) Action research and study on endangered species and plants.

vii) To protect and preserve forest and environment:
a) Action research for Ecosystem and Pollution Control.
b) Protection and improvement human environment which includes water, air and land and the inter-relationship exists among and between water, air and land and human beings, other living creatures, plants, micro-organism and property.
c) Promotion of Environmental research and bio-diversity protection.
d) Tree planting and to establish satellites Nurseries in forest land as well as society’s Green Land also, along with awareness program.

viii) To disseminate knowledge and impart institutional and non -institutional education, training and coaching:
a) Promote quality of education for better growth of children.
b) Advancement of Education and Training on general Arts, Science & Commerce, engineering, management, computer, IT, electronics, vocational, journalism, mass communication, hotel management, Hospital management, aviation, fashion technology, interior decoration accountancy, textile, Apparel Designing, Modeling, Personal Grooming, art & music, video editing, photography, Acting, Dance, Make up Art, Graphics and Animations and other vocational courses for the benefit of all sections of people.
c) Advancement of Education and Training on paramedical, nursing, laboratory technician, X-ray and other courses of allied health services.
d) Promote Yoga, Yoga Therapy, Physical education and training.

ix) To promote self-employment among the poor people:
a) To promote micro credit and savings
b) To develop entrepreneur skills of youths.
c) To encourage for micro enterprises for self employment.
d) To improve income level of the poor people.



D. Nature of the Society:
Non-Profit Making Voluntary Organization.

E. Considerations on operation regarding fund and property of the Society:
All property, movable or immovable shall vest in the Executive Committee. The income and property of “SONITPUR DHATRI SEWA SAMITY”, howsoever derived, shall be applied towards the promotion of the objectives as set-forth in this Memorandum of Association subject, nevertheless, in respect of expenditure of grants made by Government of India /State Government to such direction as the State/ Central Government may from time to time give. No portion of the income and property of the “SONITPUR DHATRI SEWA SAMITY” shall be paid or otherwise transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit to persons who at any time are or have been members of the “SONITPUR DHATRI SEWA SAMITY’’ , or to any of them or to any person claiming through them, or any of them, provided that nothing herein shall prevent the payment in good faith of remuneration to any member of other persons in return for service rendered to “SONITPUR DHATRI SEWA SAMITY” or for traveling allowance, halting allowance and other similar charges. If on the winding up or dissolution of the “SONITPUR DHATRI SEWA SAMITY”, there shall remain after the satisfaction of its debts and liabilities any property whatsoever, the same shall not be paid to or distributed among the members of the ‘SONITPUR DHATRI SEWA SAMITY’ or any of them, but shall be dealt within the manner provided by the Societies Registration Act 1860.
The office bearers/members are/have not paid benefits directly or indirectly from the funds of the Association.

RULES & REGULATIONS
(CONSTITUTION)

Article – 1:-
Name of the Society: SONITPUR DHATRI SEWA SAMITY

Article – 2:-

Article – 3:-
Area of Operation:
The Society shall operate within the geographical boundaries of North East Region of India. The society shall have branches/units for effective functioning at different areas.

Article – 4:-

The objects for which the society is established:-
(i) To empower and educate women to promote quality of life:
1. Capacity build-up and skill training.
2. Employment generation through vocational education and training.
3. Educational work for prevention on atrocities on women and for women’s equality.
4. Health education for women and girl.
5. Rehabilitation of distressed women through Short Stay Homes and Swadhar Schemes.
6. Support to training and employment for women.

Article – 5:-

Membership:-

Qualification of become Members:-
Any person of status, age is more than 18 years and citizen of India wiling to fulfill the objectives under Article – 4 shall become members of the Society. The willing person must apply for membership on the prescribed format of the Society with the admission fee amounting Rs. 100.00 (Rupees one hundred only) in cash deposit.

a.1) General member:
All the members of SONITPUR DHATRI SEWA SAMITY are the general members.
• Any person who wants to be a general member of the society will have to apply in the organizational prescribed format and any one of the executive members have to acknowledge the person.
• Membership will have to be renewed every year through membership subscription otherwise membership will be canceled.

a.2) Executive Member:
• Any general member may be executive member by the election held in General Meeting.
• If any executive member submits his resignation and within 5 days not withdrawn then it will be accepted by the president.
• If any executive member resigns from his post, then executive committee will take the decision in meeting and fill up the vacant post by a general or nominated member.
• The executive member is the member of the management of SONITPUR DHATRI SEWA SAMITY.

a.3) Beneficiary Member:
Any person can apply to be a registered beneficiary member under any activity of SONITPUR DHATRI SEWA SAMITY and s/he will avail the benefits of the activity with no voting power.

b. Subscription, Contribution and Donation:
Subscription: Contribution:
1) Rs.100/for executive member. 1) Rs. 300/- for executive member.
2) Rs.100/ for general member. 2) Rs.100/ for general member per year.
3) Rs.10/for beneficiary member. 3) Rs.100/for beneficiaries.
Donation:
Any member can donate any amount to the society and any executive member can receive donation from the donor with the approval of president.

c. Collection of fund:
Funds for the society can be collected from:-
1. Donation, contribution and subscription.
2. Service charges which will be imposed for various types of services.
3. Loan from individual and banks or any financial organizations, KVIC, State KVI, RGVN, NEDFI, NABARD, SIDBI, and Public Loan etc. and from foreign contributions,
4. Grant in aid from any government or non-government and national or international agencies.
5. By holding fun fair, Charity show, theatre show, Lotteries and cinema show, cultural show, etc. and other legal sources.
6. By selling and publishing books and journals and by other means adopted by the executive committee.

d. 1. Control of Fund:
The Society shall have Bank Accounts in any nationalized or rural bank and the bank account will be operated jointly by the secretary and the Director of the executive committee. The Society may have more than one account.

2. Application of funds:
The fund of the society will be utilized-
(i) To discharge day-to-day functions of the Society as per the objectives of the Society.
(ii) To execute detail plan and programme for the furtherance of the objectives of the Society.

Article – 6:-

6.1: Procedure of the General Meeting:-
The session of the society shall be one year from April to March and Annual General Meeting of the Society shall be held once in a year. All the members of the society shall be the members of the General Body having equal voting right.

6.2: Power and Function of the Annual General Meeting:-
i. To elect, suspend or remove members from the Executive Committee including office bearers.
ii. To receive from the Executive Committee, a report on the previous years activities of the society together with statement of accounts.
iii. To consider the audit note, inspection note or any other communication from the register.
iv. To amend these rules and regulations in the necessity of SONITPUR DHATRI SEWA SAMITY.
v. To expel and suspend members.
vi. The amendments to the rules and regulations will be carried out by a 2/3 majority of the General Body on recommendation of the Executive Committee.
vii. The business discussed or decided at a General Meeting shall be recorded in a proceeding book which shall be signed by the President of the meeting.

Article – 7:-

Quorum of the General Meeting:-

2/3rd (two-third) of members of the General Body will constitute quorum for the Annual General Meeting of the Society.

Article – 8:-

Election procedure of the Executive Committee:

a) Election shall be held once in three years by voice vote in the general meeting.
b) The President and the Secretary shall notify the date, place and time of the general meeting at least one month prior to the date of election.
c) No members shall be eligible to cast his vote if he is in arrears of his subscription or otherwise disqualified.
d) The office bearers will be eligible for re-election.

Article – 9:-

Short description of the Executive Body:-
The Executive Committee of the society shall be the Managing Committee of the society. The Executive Committee shall consist of seven to eleven members and designations are as the following:-

President - 1(One)
Secretary - 1(One)
Members - 3 to 7(three to seven)
Executive Members may be proper represented according to the decision of Annual General Meeting, with 33% women members’ representation and also with the proper representation of SC/ST/OBC etc.


Article – 10:-
Power and Functions of the Executive Committee:-
a) The Secretary is the Chief Executive Head and he will convene meeting of the Executive Committee by serving at least 3 (three) days prior notice to members with consultation of the president.
b) The responsibility of the Executive Committee is run day to day functions smoothly, arising from time to time and also to work for all round fulfillment of the objectives of the society.
c) To raise Funds for the society with the maintenance of proper Accounts.
d) To fix up the date of the Annual General Meeting of the society and to authorize the Secretary for making necessary arrangements to held the Annual General Meeting.
e) To take disciplinary action against the offending member or members of the society.
f) To constitute Sub-Committees/ Bodies, Unit Committees etc. for specific purpose from members of the society.
g) To appoint, suspend or remove from the service or take any such disciplinary action vis - a - vis the staff or determine their several duties and powers as it may consider fit.
h) To expel a member if he/ she is provided to be involved in any activities prejudicial to the society.
i) To frame programmes of the society.
j) To allot funds and approve expenditure.
k) To take any decision in favour of the society.
l) The Executive Committee shall be the final authority for interpreting all the rules and the Executive Committee shall have full discretion to act in any matter not provided for in these rules in the best interest of the society.

Article – 11:-

Duties and Responsibilities of the executive members:-
President:
I. S/he will be the overall authority and will supervise all the activities of the society.
II. S/he will have the power to take the decision in every matters of the society consultation with the executive members.
III. S/he will have the power of financial authority jointly with the secretary.
IV. S/he can take necessary action against any in- disciplinary or illegal activities of any member of the society.
V. In the absence of the Secretary s/he will appoint any Executive member as Acting Secretary to carry out the jobs of the secretary.
VI. In the absence of the president, s/he will appoint any Executive Member to carry out the jobs of the president.
Secretary:
I. S/he has financial authority jointly with the President and the Director.
II. S/he may be empowered to transact over the account with the Director of the society.
III. S/he may be convener of any meeting of the society and will be submitted the progress report of the society time to time.
IV. S/he will be the responsible person for maintaining and documenting organizational activities, records etc. and whatsoever entrusted upon him or her.

Executive Members:-

I. S/he will have the voting power.
II. S/he will be whole time working partner with any portfolio of the society.
III. S/he will have the right to look each and everything of the society.
IV. S/he is the immediate person to fill up any vacancy position of any portfolio of the society.
V. Any member can donate / contribute to fulfill the objectives of the society. Any executive member can collect donation/ contribution from reasonable sources with the approval of the President or the Secretary.


Article – 12:-
Program Implementation & Execution:
An Executive Head in the name of Director will be nominated or selected or appointed by the Executive Committee Meeting to execute and implement all the programs and activities on behalf of the executive committee of the Society.

Article – 13:-
The term of the Executive Body:-

The term of the Executive Committee will normally be three years after election/ selection is held. If any circumstances arise, it may be extended.

Article – 14:-
Procedure of Re-Election of the Members of the Executive Body:-

The annual general meeting will form the Executive Committee and their portfolios by voice vote or on consensus. The present executive member may be nominated for the next term.

Article – 15:-
Procedure of the meeting of the Executive Body:-

The Executive Committee meeting shall be held as and when necessary. It should be convened by the Secretary after giving prior notice to the members at least before two days for normal meeting and one day for urgency. Any special meeting may be convened within twenty four hours by the Secretary with the approval of the President.


Article – 16:-
Quorum of the meeting of the Executive Body:-

2/3rd (two-third) members of the Executive Committee will constitute quorum for the said meeting of the society.

Article – 17:-
Expulsion of Undesirable Member:-

Any member who goes against the Rules and Regulations & interest of the society may be expelled from the society. As well as, for lack of confirmation of membership as per these rules or when his/ her resignation is accepted by the Executive Committee, or he / she makes default in payment of subscription fee for three months, or for any action which may be held by the Executive Committee to be contrary to the stated object of the society, its activities or to the spirit and interest of co-operation.

Cessation of Membership:

I. By voluntary resignation, in this case contribution amount will not be refunded.
II. If any member does not pay his/her subscription for last three months.
III. In the case of death of a member.

Article – 18:-

No Confidence Motion:

A motion of no confidence against any office bearer or any member of executive committee may be brought, if a minimum of one third of the total members of the society demand if, and passed, only one third of the total members.

i) If any executive body member of the committee acts against the interest of the society s/he can remove by way of giving no confidence motion.
ii) At least one third of the total members of the society shall give a notice at least one month shed containing the changes.
iii) In the meeting called for giving no confidence motion, the matter will be thoroughly discussed and a matter of no confidence motion against any office bearer or any member will be accepted and shall be removed him/her by the support of 2/3 members of the meeting.




Article – 19:-
Property of the Society:
All property belonging to the Society shall be deemed to be vested in the Executive Committee of the Society but shall be referred to as ‘The property of the Society’.

Article – 20:-
Maintains of Cash Book:
Every account, cash book etc. shall be maintained by the Secretary or the Director who will be responsible to the executive committee and later will be responsible to the general committee for every account, money transaction etc., and annual audit of the account of this Association.

Article – 21:-
Auditor:-
A qualified auditor will be appointed by the Executive Body who shall audit the accounts of the society at least once in a year and annual audit report will be submitted to the Registrar of Societies regularly.
Annual Report of the proceedings of the Society and all of work undertaken during the year shall be prepared the Secretary and the Director of the Society. This report and the audited accounts of the Society shall be placed before the Society at the Annual General Meeting.

Article – 22:-
Legal Procedure:-

According to is the provision laid down in the Section 6 of the Societies Registration Act. XXI of 1860, the society may sue or may be sued in the name of the President or Secretary of the society.

Article – 23:-
Power of Amendment:

‘SONITPUR DHATRI SEWA SAMITY.’ hereby reserves the right to add, alter, amend or modify clauses herein above (MOA & Bye-Law) by a two third majority of the Executive Members.
The executive committee of the society shall have the power to make any rules and norms for smooth administration of the society or for the successful implementation of any activity and attainment of objectives of the society.

Article – 24:-
Dissolution:-
If necessary the society may be dissolved and the properties remained after dissolution may be handed over according to provision laid down in the Section 13 and 14 of the Societies Registration Act. XXI of 1860.
